Terms of Service
Last updated: February 23, 2026
These Terms of Service ("Terms") govern your use of the Reforge website, checkout flows, billing services, and related online services provided under the Reforge Software brand ("Reforge," "we," "our," or "us").
These Terms do not replace the End User License Agreement ("EULA") for software use. The EULA governs your use of the software itself. If there is a conflict, the EULA controls for software license/use issues and these Terms control for website, purchase, and billing issues (unless a written enterprise agreement says otherwise).
1. Contracting Party
Brand name: Reforge
Legal entity: Reforge Software
Legal contact: support@reforgesoftware.com
2. Acceptance and Eligibility
By accessing or using our website or services, or by purchasing a license or subscription, you agree to these Terms. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.
You must comply with applicable laws when using our website and services.
3. Orders, Plans, and Subscriptions
We offer trial and paid licenses/plans (such as Starter, Professional, and Enterprise), subject to availability and the terms presented at checkout or in a separate written agreement.
- Prices, billing intervals, and plan features are shown at checkout or in a quote/order form.
- Paid plans may be offered as recurring subscriptions or one-time purchases, depending on the plan.
- Enterprise plans may be subject to separate written commercial terms.
4. Billing, Auto-Renewal, and Cancellation
Where a plan is sold as a subscription, it renews automatically at the end of each billing period unless cancelled before renewal.
- Payments are processed by Stripe or another payment provider we designate.
- You authorize the applicable payment provider to charge the payment method you provide for recurring subscription charges, taxes, and related fees.
- You may manage or cancel eligible subscriptions through the billing management flow we provide (for example, Stripe customer portal access) or by contacting support.
- Cancellation stops future renewals, but does not usually refund charges already paid, except as stated in our refund policy or required by law.
We may change subscription prices for future billing periods by giving reasonable advance notice as required by applicable law.
5. Refunds
Unless otherwise stated at purchase or required by law, we offer a 30-day refund period for standard end-user purchases from the date of initial purchase.
Refunds may be denied or limited for abuse, repeated refund requests, custom enterprise deals, invoiced transactions, or where prohibited by law. This section does not limit any non-excludable consumer refund rights under applicable law.
6. Software License and Use
Your use of the software is subject to the End User License Agreement. The software may require activation and periodic verification according to your license type.
7. Acceptable Use
You agree not to misuse the website or services. For example, you must not:
- Attempt to interfere with, disrupt, or gain unauthorized access to our systems
- Use automated means to abuse forms, checkout flows, or APIs
- Use the services in violation of applicable law
- Submit malicious code, harmful content, or fraudulent information
8. Support and Updates
Support and update entitlements depend on the plan or license purchased and any terms shown at checkout or in the EULA. We may change support channels and support scope over time.
9. Intellectual Property
The website, software, branding, documentation, and related materials are owned by us or our licensors and protected by intellectual property laws. Except for rights expressly granted to you, all rights are reserved.
10. Privacy
Your use of the website and services is subject to our Privacy Policy, which explains how we collect, use, and share information.
11. Third-Party Services
We may rely on third-party providers (such as payment processors, hosting providers, email providers, and security services) to operate the service. We are not responsible for third-party services except as required by law.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION. WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH DISCLAIMERS ARE NOT PERMITTED BY LAW.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE RELEVANT SOFTWARE OR SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
14. Suspension and Termination
We may suspend or terminate access to the website or services if you materially violate these Terms, engage in fraud or abuse, create security risk, or where we are required to do so by law. Termination of website/service access does not automatically cancel payment obligations already incurred.
15. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Material changes will apply prospectively. Your continued use of the website or services after the effective date of updated Terms means you accept the updated Terms, except where additional consent is required by law.
16. Consumer Rights
Nothing in these Terms excludes, restricts, or modifies rights or remedies you may have under mandatory consumer protection laws in your country of residence (including, where applicable, laws in the UK, EU member states, and Australia) that cannot be lawfully excluded or limited.
17. Governing Law and Disputes
These Terms are governed by the laws of [Insert governing law jurisdiction], excluding conflict of laws rules. Courts located in [Insert forum/courts] will have exclusive jurisdiction over disputes arising out of or relating to these Terms, except where applicable consumer law gives you the right to bring a claim in your local courts.
18. General Terms
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our written consent, except where prohibited by law.
